The terms that govern your use of this website

These Terms of Use (“Terms”) govern your access to and use of aquevix.com and any related sub-domains, pages, content and online forms (the “Site”), operated by Aquevix Solutions Pvt Ltd (CIN: U93090DL2006PTC156270), a company incorporated in India with its registered office at Suite 8D, A-8 Bigjos Tower, Netaji Subhash Place, New Delhi - 110034, India (“Aquevix”, “we”, “us”, “our”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

1. The Site is informational

The Site provides information about Aquevix and the technology consulting and software services we offer. Nothing on the Site constitutes a binding offer, professional advice, or a contractual commitment to provide services. Engagements for services are governed exclusively by a separate written agreement (such as a Master Services Agreement, Statement of Work, Order Form or Non-Disclosure Agreement) signed by both parties. In the event of any conflict between such an agreement and these Terms, the signed agreement prevails for that engagement.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law to use the Site. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Intellectual property

All content on the Site, including text, graphics, logos, icons, images, audio and video material, downloads, data compilations and software (the “Content”), is owned by Aquevix or its licensors and is protected by Indian and international copyright, trademark and other intellectual property laws. The selection, arrangement and compilation of the Content is the exclusive property of Aquevix.

The names, logos, product names and service marks displayed on the Site (the “Marks”) are trademarks of Aquevix or third parties. No right or licence to use any Mark is granted except as expressly set out in these Terms.

4. Permitted use

Subject to your compliance with these Terms, Aquevix grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access the Site and view, download (where a download function is provided) and print Content for your own internal business or personal informational use.

You may also create a hyperlink to the home page of aquevix.com, provided that the link does not portray Aquevix, its services, or any third party in a false, misleading, derogatory or offensive manner, and does not use any Aquevix Mark as part of the link without our prior written consent.

5. Restrictions

You agree not to:

  • copy, reproduce, republish, distribute, sell, licence or commercially exploit any part of the Site or Content, except as expressly permitted in these Terms or with our prior written consent;
  • modify, translate, adapt or create derivative works of the Site or Content;
  • reverse engineer, decompile or disassemble any software made available through the Site, except to the extent permitted by law;
  • frame, mirror or scrape the Site, or use any robot, spider, crawler or other automated means to access, extract or index Content beyond what is permitted by our robots.txt and applicable law;
  • use the Site to transmit any virus, malicious code, or content that is unlawful, defamatory, obscene, infringing or otherwise harmful;
  • attempt to gain unauthorised access to, interfere with, or disrupt the Site, its servers or networks, or any user’s use of the Site;
  • use the Site or any Content for the purpose of training machine learning or artificial intelligence models without our prior written consent;
  • use the Site or Content to compete with Aquevix or to develop a competing product or service.

Any unauthorised use immediately terminates the licence granted in clause 4.

6. Submissions and communications

If you submit ideas, feedback, suggestions or other materials to us through the Site (other than personal data, which is governed by the Privacy Policy, and confidential information governed by a separate NDA), you grant Aquevix a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, reproduce, modify and exploit such materials for any lawful purpose, without obligation of confidentiality or attribution. You represent that you have the right to grant this licence.

You consent to receive communications from us electronically (by email or notices posted on the Site) and agree that such electronic communications satisfy any legal requirement that communications be in writing.

7. Third-party links and content

The Site may contain links to third-party websites, services or resources. These are provided for convenience only. Aquevix does not control and is not responsible for the availability, content or practices of any third party. Your use of third-party sites and services is at your own risk and subject to their own terms.

8. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and all Content are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted or error-free operation.

We do not warrant that the Site will meet your requirements, that any defects will be corrected, or that the Site or its servers are free from viruses or other harmful components. Any reliance you place on Content is strictly at your own risk and is not a substitute for professional advice.

10. Limitation of liability

To the maximum extent permitted by applicable law, Aquevix and its directors, officers, employees, affiliates and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity or anticipated savings, arising out of or in connection with your access to or use of the Site, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with your use of the Site shall not exceed INR 1 (Indian Rupee One only).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence or wilful misconduct.

11. Indemnification

You agree to indemnify, defend and hold harmless Aquevix and its directors, officers, employees, affiliates and agents from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or in connection with (a) your breach of these Terms, (b) your misuse of the Site or Content, or (c) your violation of any law or third-party right.

12. Suspension and termination

We may, at our sole discretion and without notice, modify, suspend or discontinue all or part of the Site, or restrict your access to it, at any time and for any reason, including suspected breach of these Terms. Clauses that by their nature should survive termination (including clauses 3, 5, 6, 9, 10, 11, 13 and 14) will survive.

13. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by the laws of India, without regard to conflict of laws principles.

The parties shall first attempt to resolve any dispute amicably through good-faith discussions. If a dispute is not resolved within thirty (30) days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Aquevix. The seat and venue of arbitration shall be New Delhi, and the language shall be English.

The courts at New Delhi, India shall have exclusive jurisdiction and final authority over any matter arising under these Terms, including supervisory jurisdiction over any arbitration referred under this clause.

14. General

Changes to these Terms. We may update these Terms from time to time. The “Last updated” date shows when they were last revised. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable while reflecting the original intent.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Entire agreement. These Terms, together with the Privacy Policy and any signed agreement between you and Aquevix, constitute the entire agreement between you and us regarding your use of the Site.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
